Terms of Service & Disclaimer

These Terms of Service ("Terms") govern your use of all applications provided by ProBuilder Software ("we", "us", "our"), based in Port Hope, Ontario, Canada. This includes the paid subscription apps ProBuilder Concrete Estimator, Deck Pro + Stairs, and Foundation Pro Plus, as well as the free apps FoundationPro, BagMix Pro, and StairPro (collectively, "the Apps").

By downloading, installing, or using the Apps, you agree to these Terms. If you do not agree, do not use the Apps.

1. License to Use

We grant you a personal, non-exclusive, non-transferable, revocable license to use the Apps for your own construction estimating purposes. You may not copy, modify, reverse engineer, redistribute, resell, or create derivative works of the Apps.

2. Intended Use

The Apps are designed to assist construction professionals in producing quick estimates for concrete, foundations, decks, stairs, bag mix quantities, and related materials. They are decision-support tools, not a substitute for:

• Engineered drawings or structural engineering
• Licensed professional judgment
• Local building codes, permits, or inspections
• Site-specific verification and measurement

3. Accuracy of Calculations

We make every reasonable effort to ensure the Apps produce accurate calculations based on the inputs provided. However:

• Results depend entirely on the accuracy of the inputs you enter.
• Construction involves variables (waste, site conditions, material density, temperature, etc.) that the Apps cannot account for.
• You are solely responsible for verifying every calculation before acting on it.

4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• The Apps are provided "as is" and "as available", without warranties of any kind, express or implied.
• We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
• We are not liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from your use of the Apps, including but not limited to: material cost overruns, project delays, structural defects, labour costs, lost profits, or any other financial loss.
• Our total aggregate liability to you for any claim related to the Apps shall not exceed the amount you paid for your current subscription period (which, if the Apps are free, is zero).

5. Indemnification

You agree to indemnify and hold harmless ProBuilder Software, its owner, and affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Apps or your violation of these Terms.

6. Advertising & Supplier Pricing

Certain Apps display advertisements from local building suppliers and partner businesses. Material prices shown within the Apps are provided by third-party suppliers and may change without notice. We are not responsible for the accuracy of supplier pricing, availability of materials, or the content of third-party advertisements.

7. Subscriptions, Billing & Refunds

Free Trial: Certain Apps offer a 7-day free trial. No credit card is required to start a trial. During the trial you have full access to the App's features except saving, sharing, and invoicing, which are available to paid subscribers only.

Subscription Pricing: After the trial period, continued use requires a paid annual subscription. Current pricing is listed on each App's signup page. Prices are in Canadian Dollars (CAD) and are subject to applicable taxes.

Payment: All payments are processed securely through Stripe. We do not store your credit card information. By subscribing, you authorize recurring annual charges until you cancel.

Cancellation: You may cancel your subscription at any time through the Stripe billing portal or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access until the end of the period you have already paid for.

No Refunds: All subscription payments are non-refundable. Because we offer a free trial period for you to evaluate the App before purchasing, we do not issue refunds for any reason, including partial billing periods, unused time, or dissatisfaction with the product. By subscribing, you acknowledge and agree to this no-refund policy.

Price Changes: We reserve the right to change subscription pricing. Any price changes will take effect at your next renewal. We will provide reasonable notice of price changes via email.

8. Supplier Portal

Building suppliers may subscribe to a Supplier Portal to display their material pricing within the Apps. Supplier Portal terms include:

• Territory pricing starts at $50 CAD/month per region, billed monthly through Stripe.
• Each territory is exclusive — one supplier per region per category.
• Supplier pricing data is protected. Only the supplier can view and edit their own prices. Competitors cannot access another supplier's pricing data.
• Suppliers may cancel their territory subscription at any time. Cancellation takes effect at the end of the current billing period.
• All Supplier Portal payments are non-refundable.
• We reserve the right to adjust territory pricing as app traffic grows in a region. Any rate changes will be discussed and negotiated with the supplier directly.

9. Data Protection & Privacy

Your use of the Apps is also governed by our Privacy Policy. Supplier data, including pricing and account information, is protected by server-side access controls and Row Level Security. No supplier data is directly accessible through client-side API calls.

10. User Responsibility

You represent and warrant that:

• You have the professional knowledge required to interpret estimating results correctly.
• You will independently verify all calculations before use.
• You will comply with all applicable building codes and regulations in your jurisdiction.
• You assume all risk associated with any construction work performed using information derived from the Apps.

11. Intellectual Property

The Apps, including all calculations, interfaces, designs, logos, and branding, are the property of ProBuilder Software and are protected by Canadian and international copyright and trademark laws.

12. Changes to the Apps or Terms

We may update, modify, or discontinue the Apps or these Terms at any time without notice. Continued use after changes constitutes acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Apps at any time for any reason, including violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes will be resolved in the courts of Ontario, Canada.
